Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Aimzent Private Limited ("Aimzent", "we", "us", or "our") governing your access to and use of the Workzent platform, including its web application, mobile applications, APIs, and all associated services (collectively, the "Platform").

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must immediately discontinue use of the Platform.

The Platform is designed exclusively for enterprise use. Access is available only to employees, contractors, and authorized personnel of organizations that hold a valid Workzent subscription. You must be at least 18 years of age to use the Platform.

Public self-registration is not available. Your employer or organization administrator creates and manages your account. If your employment or engagement with that organization ends, your access to the Platform may be revoked by your organization at any time.

Your account credentials are personal and confidential. You are responsible for maintaining the security of your login details and for all activity that occurs under your account. You must not share your credentials with any other person.

You must notify your organization's IT administrator and contact support@workzent.com immediately if you suspect unauthorized access to your account. Aimzent will not be liable for any loss or damage arising from your failure to safeguard your credentials.

Workzent provides an integrated suite of enterprise tools including, but not limited to: attendance management with geofencing and face verification, human resource management (HRMS), payroll processing, expense management, task tracking, AI Copilot, and reporting and analytics.

The Platform is provided for legitimate business operations of subscribing organizations. Use is limited to the scope of your role and the features enabled by your organization's subscription.

You agree that you will not use the Platform to:

• Violate any applicable laws, regulations, or statutory requirements of India or any other jurisdiction.
• Submit false, fabricated, or manipulated attendance records, expense claims, or any other data.
• Access accounts, data, or systems you are not authorized to access.
• Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the Platform.
• Introduce malware, viruses, or any harmful code into the Platform or its associated systems.
• Scrape, harvest, or systematically extract data from the Platform using automated tools.
• Attempt to interfere with, disrupt, or degrade the performance or availability of the Platform.
• Use the Platform for any purpose other than legitimate business operations of your organization.

Breach of these acceptable use obligations may result in immediate suspension or termination of your account and may expose you to civil or criminal liability.

All content, technology, designs, software, algorithms, trademarks, and intellectual property embodied in or relating to the Platform are owned by or licensed to Aimzent Private Limited. Nothing in these Terms grants you any ownership rights in the Platform or its underlying technology.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your organization's legitimate business purposes during the term of your organization's subscription. This license does not include any right to sublicense or commercially exploit the Platform.

The Workzent AI Copilot provides responses generated by large language models for informational purposes only. AI-generated content may not always be accurate, complete, current, or appropriate for your specific situation. It does not constitute professional legal, financial, medical, HR, or compliance advice.

You should independently verify AI-generated information before relying on it for any important decision. Aimzent is not liable for any loss or damage arising from your reliance on AI-generated responses without independent verification.

Your use of the Platform involves the collection and processing of personal data as described in our Privacy Policy. Your employer organization acts as the data controller for your operational data; Aimzent acts as a data processor on behalf of your organization.

Third-party AI providers may process your query data to generate AI Copilot responses. These providers are bound by data processing agreements that prohibit use of your data for their own training or commercial purposes.

We strive to maintain high availability but do not guarantee uninterrupted access to the Platform. The Platform is provided on an "as is" and "as available" basis. We may perform scheduled maintenance, apply updates, or experience outages that temporarily affect availability.

Aimzent does not warrant that the Platform will be free from errors, bugs, or security vulnerabilities at all times. We will make reasonable efforts to resolve issues promptly.

To the maximum extent permitted by applicable law, Aimzent's total aggregate liability to you or your organization for any claim arising out of or relating to these Terms or the Platform shall not exceed the total subscription fees paid by your organization to Aimzent in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall Aimzent be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, data, business, or goodwill — even if advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless Aimzent Private Limited, its directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your submission of false or unauthorized data through the Platform; or (c) your negligence or wilful misconduct.

Your organization may revoke your access to the Platform at any time. Aimzent may suspend or terminate your access, with or without notice, if you breach these Terms, engage in fraudulent activity, or if your organization's subscription lapses or is terminated.

Upon termination, your right to use the Platform ceases immediately. Sections 6, 10, 11, and 13 survive termination.

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the competent courts in India.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed without affecting the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

These Terms, together with the Privacy Policy and any applicable subscription or enterprise agreement between Aimzent and your organization, constitute the entire agreement between the parties with respect to the Platform and supersede all prior communications, representations, and agreements.

Aimzent reserves the right to amend these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms. We will provide advance notice of material changes where practicable.
